These Terms of Use (“Terms”) govern your access to and use of the Nveil website, applications, software, products, and services (collectively, the “Services”).

The Services are provided by Nveil (“Nveil,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, please do not use the Services.

1. About Nveil

Nveil is developing privacy and security infrastructure designed to help protect interactions between intelligent devices, AI-powered systems, and external services.

Nveil's Services may include software, mobile applications, device integrations, security features, privacy controls, monitoring functionality, and related technologies.

Specific functionality may vary depending on the product, device, operating system, geographic region, and stage of development.

2. Website and Early Access

The Nveil website may provide information about products that are currently under development.

Certain products, features, or functionality may not yet be generally available.

References to future products, capabilities, integrations, or roadmap items do not constitute a guarantee that such products or capabilities will be launched, remain available, or operate as described.

Joining the Nveil waitlist does not guarantee access to any product, beta program, or service.

3. Beta and Experimental Features

Nveil may make certain features available as alpha, beta, preview, experimental, or early-access functionality. Such functionality may:

  • Contain bugs or errors;
  • Have limited functionality;
  • Change without notice;
  • Experience interruptions;
  • Produce inaccurate results;
  • Be incompatible with certain devices or configurations; or
  • Be discontinued at any time.

Early-access functionality is provided for testing, evaluation, and development purposes.

4. Security Disclaimer

Nveil is designed to improve privacy and security, but no security system can guarantee absolute protection.

You acknowledge that:

  • No software, device, network, or security architecture is completely secure;
  • Security threats continuously evolve;
  • Third-party platforms and devices may contain vulnerabilities outside Nveil's control;
  • Security functionality may depend on device configuration, operating system behavior, network conditions, permissions, and third-party services; and
  • Nveil cannot guarantee that every security threat, unauthorized connection, surveillance attempt, or other security incident will be detected or prevented.

Nveil should be considered a security and privacy layer, not a guarantee of complete security.

5. Product Functionality

Nveil's products may detect, identify, classify, or alert users about certain security or privacy-related events.

Detection systems may produce false positives or false negatives. The absence of an alert does not mean that a device, connection, service, or environment is completely secure.

Where a product provides automated security actions, such functionality may depend on technical limitations, permissions, operating system capabilities, third-party platforms, and other factors.

6. Third-Party Devices and Platforms

Nveil may support or integrate with third-party devices, platforms, operating systems, APIs, and services.

These third parties operate independently from Nveil and may change their products, APIs, policies, permissions, or technical requirements at any time.

Nveil does not control and is not responsible for third-party services, devices, software, security practices, availability, or policies.

Your use of third-party products may be subject to separate terms and privacy policies.

7. Meta and Ray-Ban Disclaimer

Nveil may be designed to work with certain third-party devices, including Meta Ray-Ban smart glasses.

Nveil is an independent product and is not affiliated with, endorsed by, sponsored by, or officially associated with Meta Platforms, Inc., Meta, Ray-Ban, or their respective affiliates, unless expressly stated otherwise.

All third-party trademarks belong to their respective owners.

8. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes;
  • Attempt to gain unauthorized access to Nveil systems;
  • Circumvent security mechanisms or access controls;
  • Reverse engineer, decompile, or disassemble the Services except where permitted by applicable law;
  • Interfere with the operation or security of the Services;
  • Introduce malware or malicious code;
  • Abuse or overload Nveil infrastructure;
  • Attempt to access another user's information without authorization;
  • Use the Services to facilitate unlawful surveillance or monitoring;
  • Misrepresent your identity or affiliation; or
  • Use the Services in a manner that could reasonably harm Nveil, its users, partners, or infrastructure.

9. Intellectual Property

The Services and all associated materials, including software, designs, interfaces, graphics, trademarks, logos, text, documentation, and other content, are owned by or licensed to Nveil and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms or applicable law, you may not copy, modify, distribute, sell, license, lease, publish, or create derivative works from the Services without prior written permission.

10. Feedback

If you voluntarily provide feedback, suggestions, ideas, bug reports, or other information about the Services, you grant Nveil a worldwide, non-exclusive, royalty-free right to use and incorporate such feedback into its products and services.

You agree that Nveil may use feedback without compensation or attribution unless otherwise agreed in writing.

11. Availability

We aim to provide reliable Services but do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

The Services may be unavailable or interrupted due to:

  • Maintenance;
  • Updates;
  • Security incidents;
  • Infrastructure failures;
  • Third-party service interruptions;
  • Network failures;
  • Device or operating system changes; or
  • Circumstances outside our reasonable control.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

NVEIL DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, AND SECURITY.

NVEIL DOES NOT WARRANT THAT:

  • THE SERVICES WILL MEET YOUR REQUIREMENTS;
  • THE SERVICES WILL ALWAYS BE AVAILABLE;
  • THE SERVICES WILL BE ERROR-FREE;
  • THE SERVICES WILL DETECT OR PREVENT EVERY SECURITY THREAT;
  • INFORMATION PROVIDED THROUGH THE SERVICES WILL ALWAYS BE ACCURATE OR COMPLETE; OR
  • THE SERVICES WILL BE COMPATIBLE WITH EVERY DEVICE OR PLATFORM.

Nothing in these Terms excludes or limits any rights or remedies that cannot legally be excluded or limited.

13. Limitation of Liability

Nveil will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, except to the extent such limitation is not permitted by applicable law.

To the extent permitted by applicable law, Nveil's total liability arising out of or relating to the Services will be limited to the amount you paid to Nveil for the Services during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

14. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Nveil and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, liabilities, damages, losses, and expenses arising from:

  • Your misuse of the Services;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your infringement of another person's rights; or
  • Your unauthorized use of the Services.

15. Privacy

Your use of the Services may involve the processing of personal information.

Our privacy practices are described in the Nveil Privacy Policy. By using the Services, you acknowledge that you have reviewed the Privacy Policy.

16. Termination

Nveil may suspend or terminate access to the Services where reasonably necessary, including if:

  • You violate these Terms;
  • Your use creates a security or legal risk;
  • Your use threatens the integrity of the Services;
  • We are required to do so by law; or
  • We discontinue the relevant Services.

Provisions that by their nature should survive termination will remain effective, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related provisions.

17. Governing Law

These Terms will be governed by the laws of the jurisdiction in which Nveil is legally established, unless otherwise required by applicable law.

Any dispute arising from or relating to these Terms will be subject to the jurisdiction of the competent courts, subject to any mandatory rights available under applicable law.

Once Nveil establishes its legal entity, this section may be updated to identify the applicable jurisdiction.

18. Changes to These Terms

We may update these Terms from time to time. Material changes may be communicated through the Services or by other appropriate means where required by law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
